Corporate Finance Attorney

Position Overview
Premier firm is seeking a Corporate Finance Attorney with senior associate or partner-level experience to join their team onsite. This Attorney will have experience with corporate finance, acquisition finance, and supporting a growing M&A practice, ensuring compliance with relevant laws and regulations while advising clients on complex financing matters.

Qualifications

  • Active Admission to the PA Bar (NJ is a PLUS)
  • 5+ years of substantive corporate finance and transactional experience at a law firm or in-house legal team; experience with banks or financial institutions is a plus.
  • Demonstrated experience handling M&A-related financing, acquisition finance, syndicated loans and lending documentation.
  • Practical knowledge of securities law, private placements and disclosure obligations relevant to financings.
  • Proven experience managing debt restructurings, workouts and creditor negotiations.
  • Strong drafting and negotiation skills with the ability to translate commercial objectives into clear legal documentation and solutions.

Key Responsibilities

  • Advise clients and deal teams on acquisition finance, syndicated loans, bilateral facilities and other lending arrangements.
  • Structure and negotiate documentation for M&A-related financing, debt financings, and refinancing transactions, including credit agreements, security documents and intercreditor arrangements.
  • Lead and coordinate due diligence, identify legal and commercial issues, and recommend solutions to mitigate risk.
  • Advise on securities law compliance for offerings, private placements and disclosure obligations, and coordinate with regulatory counsel as needed.
  • Counsel clients on debt restructurings, workouts, covenant amendments and distressed financings, including out-of-court and formal restructuring solutions.
  • Develop innovative financing structures and hybrid solutions to support client objectives across domestic and cross-border transactions.
  • Draft, review and revise transaction documents, term sheets and board materials; ensure consistency with business terms and internal approval processes.
  • Collaborate with colleagues across practice groups (M&A, tax, regulatory, litigation) and with external counsel, lenders and sponsors to drive transactions to closing.
  • Provide clear, commercial legal advice to clients and internal stakeholders, and manage client relationships, expectations and billing matters.
  • Mentor junior attorneys and contribute to practice development, client pitches and training initiatives.
