Position Overview
Join a highly respected legal practice where you'll advise businesses on the formation, structuring, and governance of partnerships, joint ventures, and other business entities. This role combines sophisticated corporate transactional work with exposure to tax structuring matters, providing the opportunity to work on complex client matters alongside an accomplished legal team in Chicago.
Key Responsibilities
- Advise businesses on the formation, structuring, governance, and operation of partnerships, joint ventures, LLCs, and other pass-through entities.
- Draft, review, and negotiate operating agreements, partnership agreements, and related transactional documents.
- Counsel clients on entity structuring and corporate governance matters.
- Collaborate on tax planning and structuring considerations related to business operations and transactions.
- Support clients through business transactions, restructurings, and strategic growth initiatives.
Must Have
- 5+ years of experience practicing corporate, transactional, or tax law.
- Significant experience advising on partnerships, joint ventures, pass-through entities, and operating agreements.
- Experience with entity formation, structuring, and governance matters.
- Exposure to tax planning, tax structuring, or partnership taxation issues.
- Active Illinois law license in good standing.
Nice to Have
- Experience with private equity, M&A, or other sophisticated business transactions.
- CPA certification.
