This is an opportunity to take an active role in complex transactions while enjoying a highly manageable 1,800 billable hour target, allowing for a strong balance of sophisticated work and quality of life. Openings are available in the Los Angeles, CA and New York, NY offices.
Key Responsibilities
- Lead and support mergers and acquisitions transactions from due diligence through closing.
- Draft, review, and negotiate purchase agreements, financing documents, operating agreements, and other corporate transaction documents.
- Advise clients on corporate governance, entity formation, compliance, and strategic business matters.
- Assist emerging growth companies and investors with venture capital and private financing transactions.
- Partner with attorneys across the firm to execute sophisticated transactions and deliver practical business-focused counsel.
Qualifications / Nice to Have
Must Have
- J.D. from an accredited law school.
- Active bar admission in California or New York.
- 3+ years of corporate transactional law experience.
- Significant experience handling mergers and acquisitions transactions.
- Experience drafting and negotiating complex transaction documents.
- Strong knowledge of corporate governance and related compliance matters.
Nice to Have
- Experience representing emerging growth companies.
- Experience with venture capital, private equity, or other financing transactions.
- Experience advising closely held businesses, investors, or family offices.
