Job description

Corporate Transactional Attorney (M&A)
Join a sophisticated corporate transactions practice where you'll work on mergers and acquisitions, venture financings, and general corporate matters for a diverse range of businesses and investors. This is an opportunity to take an active role in complex transactions while enjoying a highly manageable 1,800 billable hour target, allowing for a strong balance of sophisticated work and quality of life. Openings are available in the Los Angeles, CA and New York, NY offices.

 

Key Responsibilities

  • Lead and support mergers and acquisitions transactions from due diligence through closing.
  • Draft, review, and negotiate purchase agreements, financing documents, operating agreements, and other corporate transaction documents.
  • Advise clients on corporate governance, entity formation, compliance, and strategic business matters.
  • Assist emerging growth companies and investors with venture capital and private financing transactions.
  • Partner with attorneys across the firm to execute sophisticated transactions and deliver practical business-focused counsel.

Qualifications / Nice to Have

Must Have
  • J.D. from an accredited law school.
  • Active bar admission in California or New York.
  • 3+ years of corporate transactional law experience.
  • Significant experience handling mergers and acquisitions transactions.
  • Experience drafting and negotiating complex transaction documents.
  • Strong knowledge of corporate governance and related compliance matters.
Nice to Have
  • Experience representing emerging growth companies.
  • Experience with venture capital, private equity, or other financing transactions.
  • Experience advising closely held businesses, investors, or family offices.
